1. This agreement

These Terms of Service ("Terms") are an agreement between you and Lacewing Technologies LLC, a Wyoming limited liability company ("Lacewing", "we", "us"), covering your use of the Tipfolio iPhone application and the website at gettipfolio.app (together, the "Service").

By downloading, installing or using Tipfolio you agree to these Terms. If you do not agree, do not use the Service. You must be at least 16 years old, or the age of majority where you live if that is higher, to use Tipfolio.

Our Privacy Policy is incorporated into these Terms by reference.

2. Tipfolio is a record-keeping tool, not tax advice

This is the most important section on this page. Please read it carefully.

• Tipfolio helps you keep a record of tips and shifts you enter yourself. It computes totals, rates and summaries from your own entries. It does not verify them.
• Nothing in the Service is tax, legal, accounting or financial advice. We are not your tax preparer, accountant, attorney or financial adviser, and using Tipfolio creates no such relationship.
• Figures the app describes as a deduction, a qualified tip total, or an estimated saving are illustrations derived from the data you entered, using parameters and assumptions that are stated on-screen. They are not a guarantee of any tax outcome, deduction, refund or saving.
• Tax law changes, and its application depends on your individual circumstances. Deduction caps, eligible years, occupation codes and the treatment of tip-outs and service charges may change or may not apply to you. You are responsible for verifying current IRS rules and the accuracy of anything you file.
• You alone are responsible for the accuracy and completeness of the records you enter, for what you report to any tax authority, employer, landlord or lender, and for the consequences of doing so.

Consult a qualified tax professional before relying on any figure produced by Tipfolio.

Income-proof statements

Statements Tipfolio generates for landlords, lenders or similar purposes are summaries of self-reported data. They are not audited, verified or certified financial statements, and they say so on their face. We make no representation to any third party about their accuracy.

3. Your records are yours

The shifts, tips, wages and notes you enter belong to you. We claim no ownership of them and, as explained in the Privacy Policy, we do not receive them: they are stored on your device, and we operate no server that holds them.

Because of that architecture, you are responsible for keeping your own copies. Exporting your data as CSV or PDF is free and always available, including on the free tier, and an optional encrypted backup to your own iCloud is provided. If you delete the app, reset or lose your device, or erase your data in-app, we cannot recover it for you — we have no copy to recover.

4. Licence to use the app

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use Tipfolio on Apple-branded devices you own or control, as permitted by the App Store Terms of Service. This is a licence, not a sale; all rights not expressly granted are reserved.

You may not, and may not permit anyone else to:

• copy, modify, translate or create derivative works of the app;
• reverse engineer, decompile or disassemble it, except to the extent that applicable law expressly permits this despite this restriction;
• rent, lease, lend, sell, sublicense or distribute it;
• remove or obscure any proprietary notice; or
• circumvent the licensing or subscription checks that gate paid features.

5. Tipfolio Pro, billing and auto-renewal

The core of Tipfolio — logging shifts, insights, and the nightly reminder — is free. Tipfolio Pro is an optional auto-renewing subscription that unlocks receipt scanning, the tax report export, the income-proof export, W-2 reconciliation and multiple jobs.

Prices are shown in US dollars and may differ in your local currency and by territory. The price, billing period and any trial length shown to you on the purchase screen in the app at the time of purchase are the ones that apply.

Subscriptions are sold and billed through Apple. That means:

• Payment is charged to your Apple Account at confirmation of purchase.
• Your subscription renews automatically at the then-current price for the same period, unless you cancel at least 24 hours before the end of the current period.
• Your Apple Account is charged for renewal within 24 hours prior to the end of the current period.
• If you take a free trial, any unused portion is forfeited when you purchase a subscription. Unless you cancel at least 24 hours before the trial ends, the trial converts automatically into a paid subscription.
• We do not receive or process your payment details. Apple does.

If we change subscription pricing, Apple will notify you and, where required, seek your consent before the new price takes effect. You may cancel rather than accept it.

6. Cancelling, and refunds

You can cancel at any time in iOS Settings → your name → Subscriptions, or through Settings → Subscription in the app, which links you straight to Apple's subscription settings. We never obstruct that path.

Cancelling stops the next renewal. Pro remains active until the end of the period you have already paid for. When Pro ends, your logged data remains fully intact and export stays free — only the Pro features stop.

Refunds are handled by Apple under the App Store Terms of Service, not by us. Request one at reportaproblem.apple.com. Where your local consumer law gives you a right to a refund or a cooling-off period, that right is not affected by these Terms.

7. Acceptable use

You agree not to use the Service:

• to create, or help create, a false or fraudulent record — including fabricating shifts, tips or income for any tax, immigration, lending, rental or benefits purpose;
• to misrepresent a Tipfolio export as an audited, certified or third-party-verified statement;
• in breach of any applicable law or regulation; or
• to interfere with, disrupt or attempt to gain unauthorised access to the Service or any related systems.

Tipfolio is designed to make an honest record easier to keep. Using it to build a dishonest one is a breach of these Terms.

8. Intellectual property

Tipfolio, the Tipfolio name, the Receipt Spark mark, the app's design, text, layouts, graphics and underlying software are owned by Lacewing Technologies LLC and are protected by copyright, trademark and other laws. Nothing in these Terms transfers any of those rights to you.

Apple, App Store, iPhone, iCloud and Sign in with Apple are trademarks of Apple Inc. IRS is used descriptively; Tipfolio is not affiliated with, endorsed by, or approved by the Internal Revenue Service or any government agency.

9. Availability and changes

We may add, change, suspend or discontinue features of the Service, and may release updates through the App Store. Because Tipfolio stores your data locally and works offline, discontinuation of the Service does not delete what is already on your device — but you should keep your own exports.

We may suspend or terminate your licence if you materially breach these Terms. You may end this agreement at any time by cancelling any subscription and deleting the app. Sections 2, 3, 8, 10, 11, 12 and 14 survive termination.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free or free of defects, that its calculations, parsed receipt values, or tax parameters will be accurate or current, or that it will meet your requirements or produce any particular result.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. Nothing here limits rights you have under mandatory consumer protection law.

11. Limitation of liability

To the fullest extent permitted by law, Lacewing Technologies LLC will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or for any tax penalty, interest, assessment, denied deduction, rejected application or other financial consequence arising from your use of, or inability to use, the Service — even if we have been advised of the possibility.

Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for Tipfolio in the twelve months before the event giving rise to the claim, or (b) US$50.

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you. Nothing in these Terms excludes liability for fraud, or for anything else that cannot lawfully be excluded.

12. Apple-specific terms

This section applies because Tipfolio is distributed through the App Store.

• These Terms are between you and Lacewing Technologies LLC only, not with Apple. We, not Apple, are solely responsible for Tipfolio and its content.
• Apple has no obligation to furnish any maintenance or support for Tipfolio.
• If Tipfolio fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to Tipfolio.
• Apple is not responsible for addressing any claim by you or a third party relating to Tipfolio, including product liability, failure to conform to legal requirements, and consumer protection or privacy claims.
• Apple is not responsible for investigating, defending, settling or discharging any third-party claim that Tipfolio infringes intellectual property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance will have the right to enforce them against you.

13. Changes to these terms

We may update these Terms. When we do we will change the date at the top of this page and, for material changes, give notice in the app or its release notes. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service and cancel any subscription.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Subject to the paragraph below, the state and federal courts located in Sheridan County, Wyoming will have exclusive jurisdiction.

If you are a consumer, this does not deprive you of the protection of the mandatory consumer law of your country of residence, and you may bring proceedings in your local courts where that law gives you the right to do so. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If any provision of these Terms is held unenforceable, the rest remains in force.
